Terms and Conditions

THE FOLLOWING DESCRIBES THE TERMS ON WHICH HIMSS/Healthcare IT News AND ITS SERVICE PROVIDERS OFFERS YOU ACCESS TO OUR SHOW.

Welcome. The following describes the terms and conditions applicable to your participation in the Show and use of event services.

We are a venue that permits attendees and exhibitors the ability to meet and communicate online for the purpose of selling, marketing, networking, educating and conducting other related activities. The information, content and communication made available through this Show, besides specifically in the Education Center, was not created or provided by us, and we do not control the content, communication and information that are provided by the other attendees or exhibitors through our show. You may find other attendees or exhibitors information to be offensive, harmful, inaccurate, or deceptive. By attending the Show, you agree to accept such risks and HIMSS/Healthcare IT News and its Service Providers are not responsible for the acts or omissions of the attendees or exhibitors of the Show.

Registration data

All registration data from the HIMSS Virtual Events will be shared with the Deluxe Booth Sponsors in advance of the event. These exhibitors may contact you via email ONE TIME prior to the event. Following the event, all attendee registration data will be shared with the Deluxe Booth Sponsors. These exhibitors may contact you via email, phone or otherwise following the event. All registration data of those who enter an exhibitor’s booth will be provided to that exhibitor, who may contact you via email, phone or otherwise following the event. These exhibitors are required to follow CAN-SPAM Act regulations and must remove you from any list when requested. HIMSS/Healthcare IT News are not responsible for removal of any information from lists.

Attendee Conduct

You are entirely responsible for all suggestions, ideas, comments, questions and other content that you upload, post, email, transmit or otherwise make available via the Show. You agree not to use the Show to upload, post, email, transmit or otherwise make available any content that is illegal, obscene, threatening, defamatory, invasive of privacy, infringing of intellectual property rights or otherwise objectionable or injurious to third parties or that consists of or contains software viruses, political campaigning, chain letters, mass mailings or any form of “spam.” You agree not to use a false e-mail address, impersonate any person or entity or otherwise mislead as to the origin any content. Additionally, you agree not to disrupt the normal flow of dialogue in the Show, interfere with the servers or networks connected to the Show, violate any applicable local, state, national or international law, “stalk” or otherwise harass other attendees of the Show or collect or store personal data about other attendees of the Show in connection with the prohibited activities set forth in this paragraph. We do not regularly review posted content, but we nevertheless reserve the right for any reason in our sole discretion to remove without notice any contents of the Show. You agree not to post or distribute any information or material that is copyrighted by any third party without the express written consent of such party, and you agree to indemnify and hold harmless HIMSS and its Service Provider from any claim arising out of or relating to your violation of this provision.

No Warranty.

HIMSS, AND ITS SERVICE PROVIDERS, OUR MANAGERS, MEMBERS, OFFICERS, DIRECTORS, EMPLOYEES AND OUR SUPPLIERS PROVIDE THE SHOW AND RELATED SERVICES "AS IS" AND WITHOUT ANY WARRANTY OR CONDITION, EXPRESS, IMPLIED OR STATUTORY. HIMSS, AND ITS SERVICE PROVIDERS, OUR MANAGERS, MEMBERS, OFFICERS, DIRECTORS, EMPLOYEES AND OUR SUPPLIERS SPECIFICALLY DISCLAIM ANY IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. Some states do not allow the disclaimer of implied warranties, so the foregoing disclaimer may not apply to you. This warranty gives you specific legal rights and you may also have other legal rights that vary from state to state.

Liability Limit.

IN NO EVENT SHALL HIMSS, AND ITS SERVICE PROVIDERS, OUR MANAGERS, MEMBERS OFFICERS, DIRECTORS, EMPLOYEES OR OUR SUPPLIERS BE LIABLE FOR LOST PROFITS OR ANY SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH OUR SITE, OUR SERVICES OR THIS AGREEMENT ARISING FROM ANY CAUSE INCLUDING NEGLIGENCE.

HIMSS, AND ITS SERVICE PROVIDERS’S LIABILITY, AND THE LIABILITY OF OUR MANAGERS, MEMBERS, OFFICERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS, IF ANY, TO YOU OR ANY THIRD PARTIES IN ANY CIRCUMSTANCE IS LIMITED TO THE GREATER OF (A) THE AMOUNT OF FEES YOU PAY TO US IN THE 12 MONTHS PRIOR TO THE ACTION GIVING RISE TO LIABILITY, AND (B) $50.

Indemnity.

You agree to indemnify and hold HIMSS and its Service Providers and (as applicable) our members, managers, officers, directors, suppliers, and employees, harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your improper use of the Show or your violation of any law or the rights of a third party.

Release.

Because we are a venue, in the event that you have a dispute with one or more attendees, you release HIMSS, and its Service Providers (and our managers, members, officers, directors, agents, suppliers and employees) from claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes. If you are a California resident, you waive California Civil Code §1542, which says: "A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which if known by him must have materially affected his settlement with the debtor.

PRIZE CENTER
 GIVEAWAY RULES & REGULATIONS
Eligibility: Employees of the HIMSS Virtual Events, InXpo LLC and Exhibitors and their immediate families (spouse, parents, children, siblings) are not eligible for the drawings. Contest is open to persons 21 years of age or older.

Prize Center Drawings and Notification: HIMSS Virtual Events will have the prize drawings at the end of the show. The winners will be determined by a random drawing. Odds of winning depend on the number of eligible entries received. Winners will be notified by email. Winners will be contacted by a representative of the HIMSS Virtual Events to discuss the shipping and handling. The value of the pre-configured prize items will include shipping and handling. The prizes will be delivered to the individual at his or her home address, or if to a business, to an owner, officer, or authorized contact at the company address only.

General Conditions: All national, state and local laws/regulations are applicable. All taxes (including income taxes) are the sole responsibility of winners. Non-compliance may result in disqualification and an alternate winner may be selected. Return of prize will result in disqualification and an alternate winner may be selected. Eligibility to win a prize is limited to one show prize per household, Corporate Account and/or any Branch locations affiliated with that Corporate Account, and one booth prize per booth per household, Corporate Account and/or any Branch locations affiliated with that Corporate Account. Any person attempting to defraud or in any way tamper with this drawing in any way will be ineligible for prizes and will be prosecuted to the full extent of the law. Void where prohibited by law.

Judging: By entering this drawing, participants agree to waive any right to claim any ambiguity or error in these official rules, or the drawing itself, and agree to be bound by these official rules and by all decisions of the HIMSS Virtual Events, whose decisions are final. Winners may be required to complete an Affidavit of Eligibility and Liability Release.

Disclaimers: Participants agree that HIMSS, InXpo Inc and any person involved in the development, production, implementation and distribution of this drawing, including their respective affiliates, subsidiaries, agencies, directors, officers or employees and /or any other person or entity associated with this drawing shall not be liable for losses or injuries of any kind resulting from acceptance or use of prizes, participation in drawing, or any technical malfunctions of the telephone network, computer on-line system, computer equipment, software, or any combination thereof, or any misdirected entries, or delayed data transmissions. Participants also agree that the individuals and entities listed in this paragraph are not responsible or liable for any injury or damage to a participant related to or resulting from downloading any part of this drawing, or not operating on participants’ computer. HIMSS Virtual Events reserves the right to modify the rules of the drawing in any way, or at any time, and to cancel the drawing for any reason. IT IS PARTICIPANT’S RESPONSIBILITY TO READ AND UNDERSTAND ALL INFORMATION WHICH ACCOMPANIES PRODUCT PRIZES CONCERNING USE, RISKS AND MAINTENANCE. The HIMSS Virtual Events reserves the right to cancel, suspend and/or modify the contest and award the prizes from among eligible entries received prior to such action if any fraud, technical failures or any other factor beyond the HIMSS Virtual Events reasonable control impairs the integrity or proper functioning of the contest, as determined by the HIMSS Virtual Events in its sole discretion.

Except where prohibited, participation in the contest constitutes winner’s consent to the HIMSS Virtual Events and InXpo LLC to use winner’s name, likeness, opinions, biographical information, hometown and state for promotional purposes in any media, worldwide, without further payment or consideration.

Entrant agrees that any dispute arising out of this contest shall be resolved individually without class action and exclusively by the state and federal courts in Lake County, Illinois under the laws of Illinois without regard to that state’s conflict of law principles.

Generally, the HIMSS Virtual Events and InXpo LLC’s website will not collect or store information about contest participants except for the information set forth on the entry form. Information transmitted to the HIMSS Virtual Events and InXpo LLC electronically or otherwise will generally be treated as non-confidential and non-proprietary and may be used by the receiving party for publicity as set forth above.
